Acceptance of Terms
By accessing, browsing, registering for, purchasing, subscribing to, or otherwise using RifeApp.com, the RifeApp web application, or any related services, features, content, or functionality (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, our Medical Disclaimer, and any additional policies or notices made available through the Service. These Terms form a legally binding agreement between you and New Paradigm Solutions LLC ("Company," "RifeApp," "we," "us," or "our"). If you do not agree to these Terms, you must not access or use the Service. If you use the Service on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms.
Description of the Service
RifeApp is a digital information and wellness platform that provides access to frequency-related programs, educational information, organizational tools, playlists, search and filtering functionality, saved favorites, community features, and other resources inspired by the work and research associated with Dr. Royal Raymond Rife. Features may include, but are not limited to: • Frequency program browsing and search • Filtering by categories, body areas, duration, or other criteria • Program playback functionality • Saved favorites • Playlists • Community features • Curated or featured program selections • Daily or highlighted program collections • Account and profile management • Educational or historical information • Other digital wellness and informational tools The Service may be updated, modified, expanded, limited, replaced, or discontinued at any time. RifeApp does not guarantee that any specific feature, program, frequency, category, resource, or functionality will remain permanently available.
Not a Medical Device; No Medical Advice
RifeApp is a general wellness and sound-listening application. It is not a medical device and is not intended to diagnose, treat, cure, mitigate, or prevent any disease or condition. Nothing in the Service constitutes medical advice. You agree that you will not rely on the Service for any medical purpose and that you will consult a qualified healthcare provider regarding any medical concern. Eligibility and Age Requirement
You must be at least eighteen (18) years old, or the age of legal majority in your jurisdiction if higher, to create an account, purchase a subscription, or use paid features of the Service. By using RifeApp, you represent and warrant that: • You meet the applicable age requirement; • You have the legal capacity to enter into these Terms; • Your use of the Service is lawful in your jurisdiction; and • You are not prohibited from using the Service under applicable law. RifeApp is not intended for use by children. If we learn that an account has been created by an individual who does not meet the applicable age requirement, we may suspend or terminate that account.
Accounts and Account Security
Certain features of RifeApp may require you to create an account. You agree to provide accurate, current, and complete information when registering and to keep your account information updated. You are responsible for: • Maintaining the confidentiality of your username, password, and account credentials; • All activity that occurs under your account; • Preventing unauthorized access to your account; and • Promptly notifying us if you suspect unauthorized access, fraud, or a security breach. You may not share, sell, transfer, rent, sublicense, or otherwise provide your account credentials to another person unless expressly permitted by RifeApp. We reserve the right to suspend, restrict, or terminate accounts that we reasonably believe have been compromised, misused, shared improperly, or used in violation of these Terms.
Subscriptions, Billing, and Automatic Renewal
Certain RifeApp features may require payment, a subscription, or another form of paid access. Prices, billing periods, included features, and applicable taxes will be displayed at the time of purchase or on the applicable pricing page. If you purchase a recurring subscription, you authorize RifeApp and its third-party payment processors to charge your selected payment method for all applicable subscription fees, taxes, and authorized charges. Unless otherwise stated at the time of purchase, recurring subscriptions automatically renew at the end of each billing period until canceled. By purchasing an automatically renewing subscription, you authorize recurring charges without requiring additional approval before each renewal, subject to applicable law. You are responsible for maintaining valid and current payment information. If payment cannot be processed, we may: • Retry the payment; • Suspend paid access; • Downgrade your account; • Cancel your subscription; or • Take other reasonable action necessary to collect amounts properly due. Prices and subscription terms may change. Where required by law, we will provide advance notice of material pricing or subscription changes.
Cancellation and Refunds
You may cancel a recurring subscription through the account-management tools provided by RifeApp or through the applicable payment platform through which the subscription was purchased. Cancellation prevents future renewal charges but does not ordinarily terminate access immediately. Unless otherwise stated, you may continue using paid features through the end of the billing period for which payment has already been made. Except where required by applicable law or expressly stated otherwise, payments are non-refundable and we do not provide prorated refunds or credits for partially used billing periods. If you believe you were charged incorrectly, please contact us promptly at support@rifeapp.com. Purchases made through third-party platforms may be subject to the refund and cancellation policies of those platforms. Nothing in this section limits any refund, cancellation, or consumer rights that cannot legally be waived.
Acceptable Use
You agree to use RifeApp only for lawful purposes and in accordance with these Terms. You may not: • Use the Service for unlawful, fraudulent, deceptive, abusive, or harmful purposes; • Attempt to gain unauthorized access to the Service, another account, or related systems; • Circumvent authentication, security, subscription, payment, or access controls; • Reverse engineer, decompile, disassemble, scrape, or systematically extract content except where such restriction is prohibited by law; • Use automated bots, crawlers, scrapers, or similar tools to extract substantial portions of the Service without written authorization; • Copy, reproduce, redistribute, republish, sell, sublicense, or commercially exploit protected RifeApp content without permission; • Upload or transmit malware, malicious code, viruses, or other harmful technology; • Interfere with or disrupt the operation, security, performance, or availability of the Service; • Impersonate another person or misrepresent your identity or affiliation; • Harass, threaten, abuse, defame, or unlawfully target other users; • Upload content that infringes intellectual-property, privacy, publicity, or other legal rights; • Use the Service to make false or misleading medical claims on behalf of RifeApp; or • Use RifeApp in a manner that could expose the Company, users, or third parties to legal or security risk. We may investigate suspected violations and take reasonable enforcement action.
Intellectual Property
The Service and its original content, software, design, user interface, graphics, logos, trademarks, databases, organization, documentation, features, and other proprietary materials are owned by or licensed to New Paradigm Solutions LLC and are protected by applicable intellectual-property laws. Subject to these Terms, RifeApp grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the Service for lawful personal purposes. This license does not transfer ownership of any intellectual property. Except as expressly permitted, you may not reproduce, modify, distribute, publish, display, transmit, sell, license, create derivative works from, or commercially exploit RifeApp intellectual property without prior written authorization. Historical names, writings, references, research materials, or other third-party content included within the Service remain subject to the rights, public-domain status, licenses, and legal protections applicable to those materials.
User Content
Certain portions of the Service may allow users to submit, save, publish, post, upload, transmit, or otherwise provide content ("User Content"). You retain ownership of rights you lawfully hold in your User Content. By submitting User Content to portions of the Service where it must be stored, displayed, distributed, or processed, you grant RifeApp a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, display, and transmit that User Content solely as reasonably necessary to operate, maintain, improve, secure, and provide the Service. You represent that you have the rights necessary to submit your User Content and that doing so does not violate applicable law or the rights of another person. You are solely responsible for your User Content. We may remove, restrict, or disable User Content that we reasonably believe: • Violates these Terms; • Violates applicable law; • Infringes third-party rights; • Creates security or operational risk; or • Is otherwise inappropriate for the Service. RifeApp does not necessarily endorse opinions, statements, recommendations, or claims submitted by users.
Third-Party Services
RifeApp may integrate with, link to, rely upon, or provide access to third-party websites, payment processors, authentication providers, hosting services, analytics providers, application platforms, APIs, content providers, or other external services. Those services are operated independently and may be governed by separate terms of service and privacy policies. RifeApp does not control and is not responsible for the availability, content, security, accuracy, practices, products, services, or policies of independent third parties. Your interactions with third-party services are between you and the applicable provider. The inclusion of a link, integration, reference, or third-party service does not necessarily constitute endorsement.
Disclaimers of Warranty
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. RIFEAPP AND NEW PARADIGM SOLUTIONS LLC DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT: • The Service will be uninterrupted, error-free, secure, or continuously available; • All information will be complete, accurate, current, or suitable for every purpose; • Any particular frequency program will produce a specific result; • The Service will diagnose, prevent, treat, cure, mitigate, or improve any disease or medical condition; • Defects or errors will always be corrected; or • The Service will meet every user's individual expectations or requirements. Your use of the Service is at your own discretion and risk. Nothing in these Terms excludes warranties or protections that cannot legally be disclaimed.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEW PARADIGM SOLUTIONS LLC, RIFEAPP, AND THEIR OWNERS, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES. THIS INCLUDES, WITHOUT LIMITATION, DAMAGES ARISING FROM: • LOSS OF DATA; • LOSS OF PROFITS OR REVENUE; • BUSINESS INTERRUPTION; • LOSS OF USE; • PERSONAL DECISIONS MADE BASED UPON INFORMATION AVAILABLE THROUGH THE SERVICE; • UNAUTHORIZED ACCESS TO ACCOUNTS OR DATA; • THIRD-PARTY CONDUCT; • SERVICE INTERRUPTIONS; OR • RELIANCE UPON CONTENT AVAILABLE THROUGH RIFEAPP. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF: (1) THE AMOUNT YOU PAID TO RIFEAPP DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (2) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not permit certain exclusions or limitations of liability. In those jurisdictions, these limitations apply only to the extent permitted by law.
Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless New Paradigm Solutions LLC, RifeApp, and their owners, members, managers, officers, employees, contractors, agents, affiliates, licensors, and service providers from and against claims, liabilities, damages, judgments, losses, costs, expenses, and reasonable attorneys' fees arising out of or related to: • Your violation of these Terms; • Your misuse of the Service; • Your violation of applicable law; • Your User Content; • Your violation of another person's intellectual-property, privacy, publicity, contractual, or other legal rights; or • Your fraudulent, abusive, negligent, or wrongful conduct. We reserve the right to assume exclusive control of the defense of any matter otherwise subject to indemnification, in which case you agree to reasonably cooperate with our defense.
Termination
You may stop using RifeApp at any time. We may suspend, restrict, disable, or terminate your access to all or part of the Service if we reasonably determine that: • You violated these Terms; • Payment obligations remain unpaid; • Your account presents fraud or security concerns; • Your use creates legal, technical, operational, or security risk; • Continued access may harm RifeApp, another user, or a third party; or • Suspension or termination is otherwise permitted or required by law. Where practical and appropriate, we may provide notice before termination, but we are not required to do so where immediate action is reasonably necessary. Upon termination, your right to access the affected portions of the Service ends. Provisions that by their nature should survive termination will remain in effect, including provisions concerning intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law.
Changes to These Terms
We may revise these Terms periodically to reflect changes to the Service, business practices, legal requirements, security practices, or other operational considerations. When material changes are made, we may provide notice through the Service, by email, by updating the "Last Updated" date, or through another reasonable method. Unless otherwise required by law, revised Terms become effective when posted or on the effective date specified in the notice. Your continued use of RifeApp after revised Terms become effective constitutes acceptance of the updated Terms. If you do not agree to revised Terms, you must discontinue use of the Service.
Governing Law and Venue
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Dallas County, Texas, and you consent to the personal jurisdiction of such courts.
Dispute Resolution
Before initiating formal legal proceedings, you and New Paradigm Solutions LLC agree to make a reasonable good-faith effort to resolve disputes informally. A party seeking resolution of a dispute should provide written notice describing the nature of the dispute, the relevant facts, and the requested resolution. Notices to RifeApp may be sent to support@rifeapp.com. The parties will have thirty (30) days after receipt of the notice to attempt an informal resolution unless a different period is mutually agreed upon. If a dispute cannot be resolved informally, either party may pursue any remedy available under applicable law, subject to the Governing Law and Venue provision of these Terms. Nothing in this section prevents either party from seeking temporary or emergency injunctive relief, bringing an eligible claim in small claims court, or pursuing remedies that cannot legally be restricted or waived.
